Customer Confidentiality Agreement
By signing below,
I agree to utilize the professional services of Edwards Realty
and
Investments, Inc., if I am interested in purchasing any of the
motels which will be
furnished to me by them. This Agreement will also be binding
on any corporations/
partnerships formed by me, my family and/or partners, as the
legal ownership of
such motel. Unless otherwise informed, I understand that the
real estate commission
will be paid by the Seller.
I agree to cooperate
with Broker in accomplishing the objectives of this Agreement
by:
(1) immediately contacting Broker upon deciding to purchase one
or more of the
properties furnished by Broker to me;
(2) informing other real estate companies with which I have FUTURE contact that I
am working with Edwards Realty and Investments, Inc., with regard to the properties
which have been furnished
to me by EDWARDS REALTY;
(3) providing Broker with accurate personal and financial information
in connection
with securing a loan to purchase the motel, if new financing is needed;
(4) consulting professionals for legal, tax, environmental, engineering,
foreign
reporting requirements and other specialized advice,
if needed.
IMPORTANT
NOTICE - FLORIDE LAW
REQUIRES THAT REAL ESTATE
LICENSEES PROVIDE THIS NOTICE TO ALL POTENTIAL SELLERS AND
BUYERS OF REAL ESTATE.
You should not
assume that any real estate broker or salesperson represents
you
unless you agree to engage a real estate licensee in an authorized
brokerage
relationship, either as a single agent or as a transaction broker.
You are advised
not to disclose any information you want to be held in confidence
until you make
a decision on representation.
TRANSACTION
BROKER NOTICE - FLORIDA
LAW REQUIRES THAT REAL
ESTATE LICENSEES OPERATING AS TRANSACTION BROKERS DISCLOSE
TO BUYERS AND SELLERS THEIR ROLE AND DUTIES IN PROVIDING A
LIMITED FORM OF REPRESENTION.
As a transaction
broker, Edwards Realty and Investments, Inc. and its Associates,
provide to you a limited form of representation that includes
the following duties:
(1) Dealing honestly and fairly;
(2) Accounting for all funds;
(3) Using skill, care and diligence in the transaction;
(4) Disclosing all known facts that materially affect the value
of residential property
and are not readily observable to the buyer;
(5) Presenting all offers and counteroffers in a timely manner,
unless a party has
previously directed the licensee otherwise in writing;
(6) Limited confidentiality, unless waived in writing by a party.
This limited
confidentiality will prevent disclosure that seller will accept
a price less than asking
or listed price, that buyer will pay a price greater than the
price submitted in a
written offer, or the motivation of any party for selling or
buying property, that a
seller or buyer will agree to financing terms other than those
offered or of any other
information requested by a party to remain confidential; and
(7) Any additional duties that are entered into by this or by
separate written
agreement.
Limited representation
means that a buyer or seller is not responsible for the acts
of the licensee. Additionally, parties are giving up their rights
to the undivided
loyalty of the licensee. This aspect of limited representation
allos a licensee to
facilitate a real estate transaction by assisting both the buyer
and the seller, but
a licensee will not work to represent one party to the detriment
of the other party
when acting as a transaction broker to both parties.
Edwards Realty
& Investments, Inc. tries to obtain accurate information
on all
their motel/hotel listings, including financial information;
however, we do not
guarantee or warrant them and are not responsible for any errors
or omissions.
I certify that
I am a principal/buyer and not a real estate salesman or broker;
and
I agree to hold in strictest confidence any financial information
which is furnished
to me in the motel listings that will be sent to me by Edwards
Realty & Investments,
Inc., and not discuss or reveal them to other buyers or real
estate brokers with which
I may have present or future contact.

and we will gladly send you motel listings based upon your investment
specifications
